TERMS AND CONDITIONS

By engaging the services of Artech Concepts (“Service Provider”) and/or using the Artech Concepts website (www.artechconcepts.com), you (“Client”) agree to the following Terms and Conditions. These terms apply to all projects, services, and use of the Website as specified in corresponding invoices, proposals, or service orders.

1. SCOPE OF SERVICES

The Service Provider offers professional services including, but not limited to:

• Graphic design

• Brand identity and logo creation

• Marketing and promotional materials

• Web design and web content creation (including platforms such as Wix)

• Digital solutions tailored to the Client’s needs

Only services explicitly listed in a written proposal, invoice, or agreement are included. Any additional services requested will require separate approval and may incur additional fees.

2. AUTHORIZATION FOR EXTERNAL SERVICES

For web design projects, the Client authorizes the Service Provider to:

• Acquire domain names, hosting services, and website-building services through Wix or similar platforms

• Purchase and configure third-party services under the Client’s name when required

Upon project completion:

• All administrative access credentials for domains, hosting, and related services will be transferred to the Client

• Ownership and control of all third-party services will be fully transferred to the Client, including renewals, upgrades, or cancellations

The Client assumes full responsibility for ongoing maintenance, renewals, subscriptions, and related expenses unless otherwise agreed in writing.

2.1 WIX PAYMENTS, RENEWALS & RECONNECTION FEES

Payments for Wix services are entirely separate from the contract with Artech Concepts. The Service Provider acts solely as an authorized intermediary to assist with setup, configuration, and payment on the Client’s behalf.

The Client is solely responsible for ensuring timely renewals of domains, hosting, and any services contracted through Wix.

If a website is suspended due to non-payment of Wix services or domain registration, the Client must pay all renewal fees directly. A minimum reconnection fee of $50.00 USD will be charged by Artech Concepts to restore services.

3. WEBSITE ACCESS & LINKED SITES

Access to the Artech Concepts Website is provided on a temporary basis. The Service Provider reserves the right to modify, suspend, or discontinue the Website or any services without notice.

The Website may include links to third-party websites not operated or controlled by Artech Concepts. The Service Provider assumes no responsibility for external websites. Use of third-party sites is at the Client’s own risk and subject to their respective terms and conditions.

4. WEB ACCESSIBILITY & ADA COMPLIANCE

Client acknowledges that ADA / Web Accessibility compliance is not included unless explicitly contracted as an additional service.

Client understands and agrees that compliance with the Americans with Disabilities Act (ADA), WCAG standards, or any other federal, state, or local accessibility regulations is the sole responsibility of the Client.

Client assumes full responsibility for the legal compliance of the website, including but not limited to accessibility requirements, audits, updates, monitoring, and any claims, demands, penalties, or legal actions arising from non-compliance.

5. ORDERS & SPECIFICATIONS

To ensure efficient service delivery:

• Orders must be complete, detailed, and submitted through a single communication channel (email, text message, or WhatsApp)

• Any missing, unclear, or incorrect information must be clarified by the Client prior to project execution

Delays caused by incomplete or late information are the sole responsibility of the Client.

6. PAYMENT TERMS

• A separate invoice will be issued for each project

• Full payment is required in advance unless otherwise agreed in writing

• Payment constitutes acceptance of these Terms and Conditions

The Service Provider reserves the right to pause or withhold services if payment obligations are not met.

7. REVISIONS & MODIFICATIONS

Clients may request revisions within the timeframe specified in the project agreement.

• Minor revisions will be completed within a reasonable time

• Substantial changes that alter the scope, timeline, or complexity of the project may incur additional fees

The Service Provider reserves the right to either:

• Charge for additional work required, or

• Decline further revisions and refund only the unused portion of services, if applicable

8. PROJECT DELAYS, CLIENT INACTIVITY & FINAL APPROVAL

Client acknowledges that timely communication and feedback are essential to project completion.

If a website project is not finalized due to the Client’s failure to provide feedback, revisions, approvals, or final instructions within thirty (30) business days from the date such information is requested, the project shall be considered completed and closed based on the most recent approved version.

Any revisions, updates, or changes requested after the thirty (30) business day period will be treated as a new service, requiring a new agreement, additional fees, and updated timelines.

Lack of response, communication, or instruction exceeding thirty (30) business days constitutes acceptance of the work completed to date and confirmation that the service has been rendered in full.

9. INTELLECTUAL PROPERTY

Upon full payment, ownership of final deliverables transfers to the Client.

All intellectual property rights related to the Artech Concepts Website, branding, templates, and proprietary content remain the property of Artech Concepts.

Content provided is for personal or business use only and may not be resold, sublicensed, or repurposed commercially without written authorization.

The Service Provider retains the right to showcase completed work in portfolios and marketing materials unless otherwise requested in writing.

10. LIABILITY & INDEMNIFICATION

The Client agrees to release and hold harmless Artech Concepts from any claims, damages, or losses arising from the use of the Website or services.

The Service Provider is not liable for indirect, incidental, or consequential damages, including loss of revenue or business interruption.

The Client agrees to indemnify and defend Artech Concepts against any liabilities, costs, claims, or legal expenses resulting from misuse of services, website content, or failure to comply with applicable laws.

11. PRIVACY POLICY

Artech Concepts’ Privacy Policy explains how personal information is collected, used, and protected. By using the Website or services, the Client consents to the practices described therein.

12. TERMINATION

Either party may terminate a project agreement with written notice. The Client will be invoiced for all work completed up to the termination date. Payments made are non-refundable unless otherwise stated in writing.

13. GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California.

14. ACCEPTANCE OF TERMS

By submitting payment, engaging services, or accessing the Website, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions. This acknowledgment constitutes a legally binding agreement between the Client and Artech Concepts.
