Conditions of the Professional Web Design and Development Agreement

By contracting the services of Artech Concepts (“Service Provider”) and/or using the Artech Concepts website (www.artechconcepts.com
), you (“Client”) agree to the following Conditions of the Professional Web Design and Development Agreement, which apply to all projects, quotations, invoices, or service orders issued by Artech Concepts.

1. Scope of Services

Artech Concepts provides customized digital solutions, including but not limited to:

Logo design and corporate branding.

Marketing and promotional material development.

Website design and development (primarily using platforms such as Wix).

Integration of digital systems, automations, chatbots, and web maintenance.

All services are tailored to the Client’s specifications as detailed in the corresponding service order or agreement.

2. Authorization for External Services

For web design projects, the Client authorizes Artech Concepts to:

Acquire, configure, and manage domain names, hosting, and Wix plans or equivalent platforms.

Contract, on behalf of the Client, any third-party services required for proper website operation.

Upon project completion:

The Client will receive all administrative and access credentials.

Full ownership of the domain, hosting, and website will be transferred to the Client.

The Client is solely responsible for annual Wix renewals and any associated costs, including plan or service upgrades.

2.1. Wix Payments and Renewals

Payments for Wix services (domain, hosting, etc.) are separate from the agreement with Artech Concepts.
Artech acts solely as an authorized intermediary to assist with the initial setup and payment process on the Client’s behalf.

It is the Client’s full responsibility to renew their Wix plan and related services annually.
If the website is suspended or deactivated due to non-payment or renewal failure, the Client must cover:

The Wix renewal fees.

A minimum reconnection fee of $100 USD, payable directly to Artech Concepts before any service or support is reactivated.

​

3. Website Access and External Links

Access to the Artech Concepts website is provided on a temporary basis.
Artech reserves the right to modify, suspend, or withdraw website access at any time without prior notice.
External links included on the site are beyond Artech’s control, and we assume no responsibility for their content or availability.

4. Orders and Specifications

To ensure efficient service delivery:

All project requests must be clear, complete, and submitted through a single communication channel (email, text, or WhatsApp).

Any missing or unclear information must be provided prior to project initiation.

Each project will be invoiced separately.

5. Payment Terms

Projects may be paid in monthly installments without interest until the total agreed amount is covered.

Payments must be made monthly according to the schedule established in the invoice or service agreement.

Failure to make two consecutive payments entitles the Service Provider to suspend website access, support, or maintenance until payments are regularized.

Any payment made constitutes acceptance of these Conditions.

In case of delays or non-compliance, Artech may apply administrative or reconnection fees as outlined herein.

6. Revisions and Modifications

The Client may request minor revisions within the agreed timeframe.

Significant changes that alter the project’s scope or timeline may incur additional fees.

Artech reserves the right to decline changes that exceed the contracted scope.

7. Intellectual Property

Full ownership of all deliverables transfers to the Client only after full payment has been received.

Artech retains ownership rights until all payments are completed.

The content, code, or visual material may not be reused or resold without written authorization.

Artech reserves the right to display completed works in its professional portfolio, unless the Client requests otherwise in writing.

8. Liability and Indemnification

The Client agrees to hold Artech Concepts harmless from:

Indirect, incidental, or consequential damages arising from the use of the website or services.

Errors caused by third-party configurations or Client negligence.

The Client agrees to indemnify and defend Artech Concepts from any claim, cost, or expense arising from misuse of the services.

9. Privacy Policy

Artech Concepts protects its clients’ data in accordance with its Privacy Policy, available at artechconcepts.com/privacy-policy.
By using our services, the Client consents to the processing of their information as described in that policy.

10. Agreement Termination

Either party may terminate this agreement by providing written notice.
In such a case, the Client must pay the total value of the work completed up to the termination date.
Outstanding payments must be settled before transferring any rights, files, or access credentials.

11. Governing Law

These Conditions are governed by the laws of the State of California, United States, and any disputes shall be resolved under the jurisdiction of the competent courts within said state.

12. Acceptance

By making a payment, contracting a service, or using the website, the Client acknowledges having read, understood, and agreed to these Conditions of the Professional Web Design and Development Agreement, thereby forming a legally binding contract between both parties.
